The Black Sheep AI ("we," "us," or "our") provides digital marketing, web development, CRM, automation, and AI integration services through theblacksheep.ai and related platforms. These Terms of Service ("Terms") govern your use of our website and our services. By using our website, submitting a form, or engaging us for services, you agree to these Terms.

1. Agreement to These Terms

If you do not agree to these Terms, please do not use our website or our services. If you accept these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization.

2. Our Services

We provide services that may include search engine optimization, paid advertising, social media management, web design and development, CRM setup, omnichannel messaging, marketing automation, and AI integration. The specific services, deliverables, timelines, and fees for any engagement are defined in a separate proposal, statement of work, or service agreement.

3. Proposals and Scope

Where a proposal, statement of work, or signed service agreement exists, that document controls the specific engagement. These Terms apply to anything the engagement document does not address. Work outside the agreed scope requires written approval and may incur additional fees.

4. Fees, Billing, and Refunds

Fees, billing cycles, and payment terms are set out in your proposal or service agreement. Invoices are due on receipt unless stated otherwise. Recurring engagements continue until cancelled in writing according to the notice period in your agreement. Advertising spend paid to third-party platforms is billed separately from our service fees and is not refundable once spent. Completed work is not refundable.

5. Client Responsibilities

You agree to provide timely access, accurate information, brand assets, approvals, and any platform credentials required to perform the work. You are responsible for the accuracy and legality of the content, claims, offers, and products you ask us to promote. Delays in providing materials or approvals may shift agreed timelines.

6. Third-Party Platforms

Our services depend on third-party platforms including Google, Meta, TikTok, LinkedIn, Shopify, WordPress, Webflow, Klaviyo, and similar providers. We do not control those platforms, their policies, their pricing, their algorithms, or their availability. We are not liable for account suspensions, policy disapprovals, API changes, outages, or performance changes caused by a third-party platform.

7. Intellectual Property

Upon full payment, you own the final deliverables we create specifically for you. We retain ownership of our pre-existing materials, frameworks, templates, tools, and methodologies, and we grant you a non-exclusive license to use them as part of your deliverables. We may reference the engagement and display non-confidential work in our portfolio unless you ask us in writing not to.

8. Confidentiality

Each party agrees to protect the other party's non-public business information and to use it only for the purpose of the engagement. This obligation survives the end of the engagement.

9. Text Messaging Terms

If you provide your mobile number and opt in, you agree to receive text messages from The Black Sheep AI about your inquiry, appointments, and service updates. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or reply HELP for help. Carriers are not liable for delayed or undelivered messages. Mobile information is never sold or shared with third parties for their own marketing or promotional purposes. Information collected through text messaging is handled as described in our Privacy Policy.

10. No Guarantee of Results

Marketing outcomes depend on factors outside our control, including market conditions, competition, platform algorithms, your pricing, and your product. We do not guarantee specific rankings, traffic volumes, leads, conversions, revenue, or return on advertising spend. Any projection we share is an estimate, not a promise.

11. Acceptable Use

You may not use our website or our services to violate any law, infringe intellectual property rights, transmit malware, attempt unauthorized access, scrape our site at scale, or promote fraudulent, deceptive, or prohibited products. We may suspend or terminate service for any violation.

12. Disclaimers

Our website and our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to these Terms or our services will not exceed the fees you paid us in the three months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from content or materials you supply, products or services you sell, your use of the deliverables, or your breach of these Terms.

15. Term and Termination

Either party may terminate an engagement according to the notice terms in the applicable agreement. On termination, you remain responsible for fees earned and costs incurred through the termination date. The sections covering intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. The exclusive venue for any dispute arising from these Terms is the state or federal courts located in Los Angeles County, California.

17. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our website or our services after the changes take effect constitutes acceptance of the revised Terms.
